Agents and brokers in good standing with the eXp Realty may be eligible to earn stock awards under the Agent Growth Incentive Program. Shares acquired through the Program will be issued to the individual agent and corresponding tax ID. eXp cannot issue shares to an entity.
Award Amount
Upon an agent’s first completed transaction (full unit) in each anniversary year with eXp Colombia, the agent will be granted a stock award of $450,000 COP worth of eXp World Holdings, Inc. (Nasdaq: EXPI) common stock.
Number of Shares
Agents are awarded a set number of shares of EXPI common stock on the last trading day in the qualifying month, the award date. The number of shares awarded is determined by using the closing market price of EXPI common stock on the award date.
Vesting
Awards are subject to three years of continuous service and in Good Standing with eXp from the award date. Upon satisfaction of the vesting period, the underlying shares will be issued.
Award Amount
When an agent directly attracts another agent to the company, and upon the sponsored agent’s first completed (full unit) transaction with eXp, the sponsoring agent will be granted an award of $900,000 COP worth of eXp World Holdings, Inc. (Nasdaq: EXPI) common stock.

Agents are awarded a set number of shares of EXPI common stock on the last trading day in the qualifying month, the award date. The number of shares awarded is determined by using the closing market price of EXPI common stock on the award date.
Vesting
Sponsor awards require that both the sponsoring agent and the sponsored agent remain with eXp and in Good Standing for three years from the award date. Upon satisfaction of the vesting period, the underlying shares will be issued.
Award Amount
Upon capping during each anniversary year, agents will be granted an award of $900,000 COP worth of eXp World Holdings, Inc. (Nasdaq: EXPI) common stock.

In any year that an agent achieves ICON status, the agent can earn up to $50,000,000 COP worth of eXp World Holdings common stock.
Icon Production Award
An award for $30,000,000 COP worth of eXp World Holdings, Inc. (Nasdaq: EXPI) common stock is granted in the qualifying month. Production Awards are subject to three years of continuous service and in Good Standing with eXp from the award date. Upon satisfaction of the vesting period, the underlying shares will be issued.
Icon Culture Award
$20,000,000 COP worth of eXp World Holdings, Inc. (Nasdaq: EXPI) common stock is granted upon meeting the cultural requirement. Culture Awards are subject to one year of continuous service and in Good Standing with eXp from the award date. Upon satisfaction of the vesting period, the underlying shares will be issued.
eXp will calculate the new Agent Growth Incentive Program awards achieved by agents once all transactions have been “closed” from the qualifying month. This typically occurs towards the end of the following month. A grant notification will be sent once the award(s) have been uploaded to the individual’s Shareworks accounts.
Upon vesting, all shares issued under the Program will be held in the individual agent’s Shareworks account, the online platform used to manage eXp’s equity plans. Agents can access their Shareworks account through Enterprise by clicking on the Shareworks tile under Technology Solutions. Agents outside of the U.S. and Canada can access their account through Okta.
All equity programs are governed by eXp World Holdings, Inc.’s 2015 Equity Incentive Plan and the eXp 2015 Equity Incentive Plan Prospectus. eXp World Holdings, Inc. has adopted an Insider Trading Policy that prohibits employees, agents and contractors from the purchase or sale of EXPI stock based on material nonpublic information and from disclosing this information to others who may trade.
